OHA begins comprehensive review of Compassus acquisition of 50% stake in Providence Oregon home health and hospice operations
The Oregon Health Authority (OHA) has completed a preliminary review of the proposed acquisition by FC Compassus (“Compassus”) of a 50% membership interest in Compassus Providence Holdings, LLC, which includes the home health and in-home hospice operations of Providence Health & Services – Oregon (“Providence Oregon”). OHA has determined that this transaction requires a comprehensive review. The preliminary review report and other transaction materials are posted on OHA’s website.

Background
On March 20, 2025, OHA accepted a complete Notice of Material Change Transaction from Compassus and Providence Oregon. OHA has posted the notice and transaction summary to the Health Care Market Oversight program website.
Compassus is a for-profit company based in Tennessee that provides in-home hospice care, palliative care, home health care, and home infusion services in 30 states. Compassus is part-owned by TowerBrook Capital Partners, L.P., a private equity firm. Providence Oregon is a subsidiary of Providence St. Joseph Health, a nonprofit health system based in Washington that operates eight hospitals and over 90 clinics in Oregon.
Next steps
During the comprehensive review, OHA will collect and analyze additional information about the transaction, solicit input from affected communities, and assess the potential impacts of the transaction on cost, quality, access, and health equity for people in Oregon. The comprehensive review will be completed within 180 days, unless extended in accordance with the law. At the end of a comprehensive review, OHA can approve the transaction, approve the transaction with conditions, or disapprove the transaction.
