OHA begins comprehensive review of transaction involving Legacy and PacificSource.
The Oregon Health Authority (OHA) has completed a 30-day preliminary review of a transaction involving Legacy Health, Legacy Health Foundation, and PacificSource. OHA has determined that this transaction requires a comprehensive review. The preliminary review report and other materials for this transaction are posted on OHA’s website.
During the comprehensive review, OHA will collect more information about the transaction and analyze any potential impacts on cost, quality, access, and equity for people in Oregon. The comprehensive review will be completed within 180 days of the Notice of Material Change Transaction, unless extended in accordance with law.

Background
On October 18, 2024, OHA accepted a complete Notice of Material Change Transaction from Legacy Health. OHA has posted the notice and transaction summary to the Health Care Market Oversight program website.
In this proposed transaction, Legacy Health is planning to transform the Legacy Foundation into an independent organization and transfer Legacy’s 50% ownership of PacificSource to the Foundation. This deal is related to, but separate from, OHSU’s plan to purchase Legacy.
Legacy Health owns and operates six hospitals in the Portland and Vancouver metro areas, and the mid-Willamette valley. Legacy owns 70 outpatient clinics in the same regions. The Legacy Foundation currently supports the mission of Legacy Health by funding community organizations and programs. PacificSource offers health insurance plans in Oregon to people with Medicare Advantage, Medicaid, and commercial coverage.
