OHA to begin comprehensive review of OHSU's purchase of Legacy Health
The Oregon Health Authority (OHA) has completed a 30-day preliminary review of a transaction involving Oregon Health & Science University (OHSU) and Legacy Health. OHA has determined that this transaction requires a comprehensive review. The preliminary review report and other materials for this transaction are posted on OHA’s website.
OHA is accepting public comments throughout the comprehensive review period. To submit a public comment, please email hcmo.info@oha.oregon.gov, fill out the public comment form, or leave a voicemail at 503-945-6161. Make sure to mention “OHSU” in your comment.
Background On October 4, 2024, OHA accepted a complete Notice of Material Change Transaction from OHSU. OHA has posted the notice and transaction summary to the Health Care Market Oversight program website.
In this proposed transaction, OHSU is planning to buy Legacy Health. OHSU is a public university health system that owns or is affiliated with three hospitals in the Portland metro area and multiple outpatient clinics. Legacy Health owns and operates six hospitals in the Portland and Vancouver metro areas, and the mid-Willamette valley. Legacy owns 70 outpatient clinics in the same regions.
Next steps During the comprehensive review, OHA will collect additional information about the transaction, encourage public comment, and examine the potential impacts on cost, quality, access, and equity for people in Oregon. The comprehensive review will be completed within 180 days, unless extended in accordance with the law. At the end of a comprehensive review OHA can approve the transaction, approve the transaction with conditions, or disapprove the transaction.
OHA plans to convene a community review board for the comprehensive review of the proposed OHSU-Legacy transaction. Community review boards provide input about transactions and make a recommendation to OHA about whether the transaction should be approved. Board members can include people who live and work in affected communities, consumer advocates, health care experts and health care providers.
People interested in participating in the community review board for this transaction can email hcmo.info@oha.oregon.gov. OHA staff will provide more information about the timeline, member requirements, and application process.
Launched in 2022, the Health Care Market Oversight program reviews heath care business deals to make sure they support Oregon’s goals of health equity, lower costs, increased access, and better care. For more information, visit www.oregon.gov/hcmo or email hcmo.info@oha.oregon.gov.
