Health Care Market Oversight

OHA begins preliminary review of Elevance Health and CD&R transaction.

The Oregon Health Authority (OHA) has accepted a complete Notice of Material Change Transaction from Elevance Health and CD&R. OHA has posted the notice, additional materials, and a transaction summary to the Health Care Market Oversight (HCMO) program website.

With this transaction, Elevance Health and CD&R plan to form a joint venture to combine primary care businesses under a single holding company. Elevance Health offers health insurance plans and health care services nationwide. Elevance Health does not currently operate primary care practices in Oregon. CD&R is a private equity firm. CD&R companies currently operate two clinics in Oregon, located in Medford and Portland.

To submit a public comment, email hcmo.info@oha.oregon.gov and include the word “CD&R” in your message. OHA will accept public comments throughout the 30-day preliminary review period. Public comments will be posted to HCMO’s website.
