        SEC to Permit Voluntary Filing Using Inline XBRL

        The SEC announced on June 13, 2016 that certain filers can voluntarily file structured financial statement data in a format known as Inline XBRL.

        Inline XBRL is a format which integrates Interactive Data tags within HTML filings.

        The SEC’s EDGAR system has been upgraded to facilitate the use of Inline XBRL. The EDGAR Filer Manual, Volume II has been updated to provide information on formatting and attaching an Inline XBRL document to an EDGAR submission.

         

        The Spotlight on Filer Technical Support 

        The Filer Technical Support (FTS) team is part of the Office of Information Technology and provides technical support to users of the SEC’s Electronic Data Gathering, Analysis and Retrieval (EDGAR) system. 

        FTS supports filers experiencing technical issues navigating, accessing, validating and filing using the EDGAR websites. They also process Form IDs and Company Updates for Large Traders, Municipal Advisors, Filing Agents, Transfer Agents and Funding Portals. The team can be reached Monday-Friday 9:00am-5:30pm ET at 202-551-8900, Option 3 or via email at FilerTechSupport@sec.gov

        FTS recently published Frequently Asked Questions based on the most common EDGAR filing issues and updated the Browser Quick Reference Guide. In addition, FTS is also working with the other Filer Support teams to add new improvements to the content and design of the current Everything EDGAR webpage. 

         

        Filer Technical Support Survey

        The Filer Technical Support team (FTS) is conducting an outreach survey to obtain customer service feedback from filers who have received their technical support. If you have spoken to our FTS team, we want to hear from you!

        SEC Seal Filing Fees

        Fee Rate Advisory #1 for Fiscal Year 2017

        Effective Oct. 1, 2016, the following fee rates will increase from $100.70 per million dollars to $115.90 per million dollars:

        • The Section 6(b) fee rate applicable to the registration of securities;
        • The Section 13(e) fee rate applicable to the repurchase of securities; and 
        • The Section 14(g) fee rates applicable to proxy solicitations and statements in corporate control transactions. 

        The Section 6(b) rate is also the rate used to calculate the fees payable with the Annual Notice of Securities Sold Pursuant to Rule 24f-2 under the Investment Company Act of 1940.

        We’re asking users of this new, dynamic tool to let us know your thoughts, ideas and feedback.

        SEC Seal Investment Management

        Registrants with Greater than 99 Series [Form N-SAR]

        Registered investment companies, other than face amount certificate companies, are required to file Form N-SAR. Open- and closed-end companies must file Form N-SAR semi-annually. Unit investment trusts must file once a year for the period ending December 31.

        Item 7C of Form N-SAR requires a listing of each series of a registrant. However, the N-SAR application does not permit the inclusion of any series assigned with a unique identifier of 100 or greater in the body of Form N-SAR.  Registrants with greater than 99 series should file an addendum to include item 7C information with respect to any additional series.

        SEC Seal EDGAR Updates

        EDGAR Release 16.3

        Coming Soon! Be sure to sign up for announcements from EDGAR Filer Support to get real-time news and updates including EDGAR Releases.

        Planned Release 16.3 is expected to include, but not be limited, to the following changes:

        • An unregistered money market fund will now be able to file a report on submission form types N-CR and N-CR/A.
        • Submission form types 10-Q, NT 10-K, and NT 10-Q will be updated to include a new required field "Accelerated Filer Status." In addition, EDGAR will also be updated to accommodate the accelerated filing deadlines for these periodic reports as per Release No. 33-8644 (Revisions to Accelerated Filer Definition and Accelerated Deadlines for Filing Periodic Reports).
        • Submission form types ABS-EE and ABS-EE/A will be updated to require a new date format of MM-DD-YYYY for certain Asset Class Items.

        EDGAR Release 16.2

        On June 13, 2016, EDGAR 16.2 was released and introduced the following changes:

        • Registrants whose Standard Industrial Classification (SIC) code is not 6189 (asset-backed securities) will be allowed to file asset-backed securities related submission form types in EDGAR.
        • US-GAAP-2014, EXCH-2014, COUNTRY-2012, and CURRENCY-2012 taxonomies will no longer be supported by EDGAR.
        • Instructions for formatting and attaching Inline XBRL documents to EDGAR submissions.
