As we move toward the end of the calendar year, it’s the season for all registered businesses and nonprofits to renew their filing, and the deadline for 2025 renewals is December 31, 2025. For most businesses, renewing is free, and you can complete the process at any time during the year, so there’s no need to wait until the deadline. Keeping your business up to date also saves you money over time: while Minnesota’s filing fee for starting a new LLC is $135, Minnesota is one of only ten states that offer free annual renewal filings, helping reduce long-term operating costs for business owners.
Visit our website for simple, step-by-step instructions to check whether you need to renew and how to complete the process. If your business has been dissolved or is currently inactive, you can also find guidance on reinstating at sos.mn.gov/reinstate.
We also want to remind you to be cautious of solicitations and official-looking mail. Some Minnesota business owners have reported receiving postal mail from third-party companies that appear official and imply that fees must be paid to complete annual renewals or other required filings. Many filings through our office are free or available at a lower cost than what these companies charge, and you can review all official filing fees at sos.mn.gov/fees. The Office of the Minnesota Secretary of State will never send renewal notices or correspondence by mail, nor do we issue Dealer License Certificates.
